These Terms and Conditions govern access to, use of and operation of the remote device management web portal provided by Ciser System SLU (the "Service"). The Service enables centralized online administration of equipment, including, among others, GSM devices, trackers and IP/SIP intercom boards.

1. Object and scope of the Service

The purpose of the Service is to facilitate configuration, monitoring, status checks, maintenance and operational administration of devices associated with the customer account. Use of the Service may involve remote actions on the equipment, including parameter changes, updates, diagnostics and technical support.

2. Acceptance of the Terms

Access to and use of the Service implies reading, understanding and express acceptance of these Terms. If the user acts on behalf of a company or entity, they declare that they have sufficient capacity and authority to bind that entity.

For the proper operation of the Service, the Customer expressly accepts that the authorized technical third parties, as well as Ciser System SLU, may access the Devices and certain associated technical information when necessary for:

This access may involve viewing and/or modifying technical device parameters, event logs, connectivity status, configuration data and operational metadata essential for the above purpose. The Customer acknowledges and accepts that such access is an essential element of the Service.

6. Functional scope and availability

Ciser System SLU will make reasonable efforts to maintain continuity and availability of the Service. However, the Service may be affected by scheduled maintenance, technical incidents, network outages, third-party providers, operator coverage, power interruptions or other causes beyond Ciser System SLU's control.

Unless expressly agreed in writing, uninterrupted availability and the complete absence of errors are not guaranteed.

9. Limitation of liability

To the extent permitted by applicable law, Ciser System SLU shall not be liable for indirect damages, loss of profit, loss of opportunity, loss of business, data loss or reputational damage arising from use or inability to use the Service.

Ciser System SLU shall also not be liable for incidents attributable to third parties, telecommunications operators, connectivity, third-party hardware, force majeure or unauthorized actions by the Customer or its users.

Where legally applicable, the total liability of Ciser System SLU shall be limited, in aggregate, to the amount actually paid by the Customer for the Service during the twelve (12) months preceding the event giving rise to the claim.

10. Security and technical measures

Ciser System SLU will adopt reasonable technical and organizational measures to protect the Service and the information managed. However, the Customer acknowledges that no system is completely invulnerable and that residual risks may exist in any connected environment.

The data will be retained for as long as necessary to provide the Service and, once the relationship ends, for the applicable statutory limitation periods (generally up to 5 years for contractual obligations and up to 10 years for accounting/tax obligations), after which it will be deleted or anonymized.

11.5. Data sharing with third parties

Data will not be disclosed to third parties except where required by law or where necessary for the provision of the Service (for example, technology providers, manufacturers or installers acting as processors). In such cases, the relevant data processing agreements under Art. 28 GDPR will be executed.

No international data transfers outside the European Economic Area will be made unless the appropriate safeguards required by applicable law are in place.

To exercise any of these rights, the data subject must send a written request, proving their identity, to comercial@cisersystem.com. A response will be provided within a maximum of one (1) month from receipt of the request, extendable by two additional months in cases of particular complexity, with notice to the data subject.

If you believe that the processing does not comply with the regulations, you may file a complaint with the Spanish Data Protection Agency (AEPD) — www.aepd.es.

The parties undertake to keep confidential the technical, commercial and operational information they access in connection with the provision of the Service, unless legally required or requested by a competent authority.

12. Intellectual and industrial property

The Service, its software, design, documentation, trademarks and associated content are owned by Ciser System SLU or its licensors. These Terms do not imply any transfer of intellectual or industrial property rights beyond the limited right of use necessary to use the Service as agreed.

13. Suspension and termination of the Service

Ciser System SLU may temporarily suspend or cancel access to the Service in the event of a serious breach of these Terms, security risk, non-payment, legal requirement or abusive use of the system.

Termination of the Service shall not release the Customer from outstanding obligations or liabilities incurred prior to termination.

14. Changes to the Terms

Ciser System SLU may modify these Terms for legal, technical, operational or Service improvement reasons. Updated versions will be made available to the Customer through the portal's usual channels. Continued use of the Service after the changes take effect will imply acceptance of those changes.

15. Notices and support

Communications related to the Service may be made through the portal itself, by email or via other means provided by the Customer in its relationship with Ciser System SLU.

16. Governing law and jurisdiction

These Terms shall be governed by Spanish law. Unless mandatory law provides otherwise, the parties submit to the courts having jurisdiction over Ciser System SLU's registered office, expressly waiving any other jurisdiction that may apply.
